DEBBIE is an Advocate and Solicitor of the Supreme Court of Singapore and is

frequently involved in matters in the High Court and Court of Appeal. Debbie has extensive experience in commercial and corporate matters, ranging from construction and infrastructure work, to employment disputes and shipping disputes. 


Having worked with firms of various sizes and at different stages of development, 

Debbie is well-acquainted with the workings of start-ups, scale-ups, and multi-national corporations. 


Debbie previously spearheaded the team in San Francisco for about 2 years and was actively involved in the Californian business and professional community. Debbie advised numerous US firms on cross-border commercial matters and assisted Singapore companies seeking to expand their businesses to the US. 


During her stint in the US, Debbie also organised various events, together with quasi-governmental organisations, economic and trade offices, as well as leading professional service providers, touching on cross-border business opportunities, particularly in relation to Singapore and California.


One notable project was bringing a start-up to SXSW 2017 (South by Southwest) in Austin, Texas to the final stages of the Release It pitch competition and collaborating with lawyers in Austin, Texas to advise the start-up on funding matters and intellectual property related issues.


Debbie is fluent in English, Mandarin, and has a competent grasp of Japanese (JLPT 3 (N4)). She is currently learning Korean language. 


Debbie is also a regular contributor to the publication under Singapore Institute of Arbitrators (SIArb).

LITIGATION & DISPUTE RESOLUTION


  • Assisted lead counsel and acted for a maritime investment company against a foreign minority shareholder in a High Court action involving minority oppression and successfully resisted the injunction against clients, as well as settled the matter subsequently in clients’ favour, including enforcement of settlement agreement 


  • Acted as lead counsel for a prominent paintworks company against an errant general contractor which owed over S$50 million to creditors and successfully objected to the section 211B application taken in the High Court in clients’ favour


  • Acted for an engineering and integrated design company, a subsidiary of a Taiwan-listed company, in numerous construction disputes in the Singapore Court of Appeal and High Court, which include, amongst other things:


  1. Successfully obtaining a permanent stay of enforcement proceedings in clients’ favour [ United Integrated Services Pte Ltd v Civil Tech Pte Ltd and another [2019] SGHC 32 ] 
  2. Successfully obtaining an order to set aside a Final Garnishee Order in clients’ favour [ United Integrated Services Pte Ltd v Harmonious Coretrades Pte Ltd  [2019] SGHC 126 ]
  3. Appeal against the decision to set aside a Final Garnishee Order [ Harmonious Coretrades Pte Ltd v United Integrated Services Pte Ltd [2019] SGCA 77 ]


  • Acted as lead counsel for an A1 construction company against a foreign company in a claim for alleged breach of agreement and successfully defended clients in Singapore High Court [ Eastern Resource Management Services Ltd v Chiu Teng Construction Co Pte Ltd [2019] SGHC 19 ] 


  • Assisted lead counsel and acted for the property owner in a Singapore High Court claim relating to construction defects involving a S$20 million seafront landed property and the appeal arising out of the same matter [See Poh Cheng Chew v K P Poh & Partners and anor [2014] 2 LR 573] 


  • Acted for foreign Claimants in an SIAC arbitration against an offshore marine group over breaches of joint venture term sheet involving platform supply vessels amounting to S$66 million


CORPORATE WORK


  • Acted for Norway’s largest financial services group in connection with pre-payment of secured loan facility involving US$121 million and discharge of mortgages over four oil tankers


  • Acted for Danish Ship Finance in connection with pre-payment of loan facility involving US$52 million and discharge of mortgages over one steel tanker


  • Acted for an investment holding company in connection with the purchase seven commercial properties valued at around S$3.5 million 


  • Acted for a purchaser in the sale and purchase of shares in a fish farm company around S$1 million purchase price and around 387,500 square feet of state land, as well as carried out due diligence, and assisted with execution and completion of transaction 


  •  Acted for an e-commerce platform and crowdsourcing specialist and advised on privacy policy, terms and conditions, compliance with Personal Data Protection Act, as well as general legal concerns

SHARON is an Advocate and Solicitor of the Supreme Court of Singapore and her work centres on commercially focused matters, ranging from multi-party corporate transactions to cross-border disputes. With a competent grasp of the legal landscape in Singapore and an active interest in Asia, Sharon effectively assists clients in meeting both their legal and commercial needs.


Actively involved in the Hong Kong start-up community, Sharon was invited to speak at various co-working spaces and start-up events, as well as advised start-ups and businesses on their legal concerns.

LITIGATION & DISPUTE RESOLUTION


  • Acted for the Respondents in an SIAC arbitration against an American welding multinational and Fortune 1000 company over a dispute involving an estimated US$7 million


  • Assisted lead counsel and acted for Singapore’s leading system integrator company and succeeding in the High Court claim against ex-employees for conspiracy to defraud as well as successfully resisted the Defendant’s appeal in the Court of Appeal arising out of the same matter [ Automatic Controls & Instrumentation Pte Ltd v Tan Thiam Soon & Tay Chin Huat [2017] SGHC 77 ]


  • Acted as lead counsel for Singapore’s leading system integrator company in an assessment of damages hearing before the Honourable Justice Woo Bih Li involving a conspiracy to defraud claim and successfully obtained over 85% of damages and costs amounting to S$900,000.00  


  • Acted as lead counsel for a prominent A1 construction company in connection with a performance bond call relating to a project valued at around S$8 million and successfully resisted the injunction brought against clients


  • Acted for investors against an aviation company involving a dispute over private aerospace and successfully obtained an interim injunction as well as a consent order involving dealing of properties in the Singapore High Court


  • Acted as lead counsel for a global security group headquartered in Switzerland against a recalcitrant construction company and successfully obtained a winding up order in the Singapore High Court against said construction company 


  • Assisted lead counsel and acted for one of Singapore’s largest building construction company in a claim for alleged breach of agreement and successfully defending clients in the Singapore High Court [ Eastern Resource Management Services Ltd v Chiu Teng Construction Co Pte Ltd [2019] SGHC 19 ]


  • Acted for a listed maritime and offshore company in various company-related matters, including applying for an injunction to enforce shareholders’ rights in the Singapore High Court as well as pursuing potential claims against directors in America [ Ezion Holdings Ltd v Teras Cargo Transport Pte. Ltd. [2016] SGHC 175 ]


  • Acted for the estate regarding a property-related dispute against the contractor and home-owners on a novel point of law concerning non-delegable duty and right to support [ Eng Yuen Yee (sole executrix of the estate of Chan Poh Choo, deceased) v Grandfort Builders Pte Ltd and others (Wu Ruixin and another, third parties) [2018] SGHCR 01 ]


CORPORATE WORK


  • Advised one of Singapore’s leading main contractor in a cross-border infrastructure joint venture project with various parties, including China’s largest listed construction company, and assisted with drafting and review of Memorandum of Understanding in both English and Mandarin 


  • Acted for an Indian multinational bank in connection with various secured loan facilities for the financing and/or re-financing of vessels exceeding S$60 million


  • Acted for a Norway’s largest financial services group in connection with pre-payment of secured loan facility involving US$147 million and discharge of mortgages over two oil tankers

 

  • Acted for a Dutch global financial institution in connection with pre-payment of secured loan facility involving US$276 million and discharge of mortgages over three oil tankers 


  • Acted for an American multinational bank in connection with pre-payment of secured loan facility involving US$18.2 million and discharge of mortgages over two oil tanker


  • Advised a global security group based in Switzerland on reseller agreement with one of Singapore’s major telco companies

JASON is an Advocate and Solicitor of the Supreme Court of Singapore and his work focuses on mergers and acquisitions, investment funds, as well as regulatory and compliance matters.


In a short span of two years, Jason has assisted clients with completing transactions with project values to the tune of US$200 million. These clients include major private equity, venture capital and hedge funds, banks, multi-national corporations, to small-medium-enterprises (SMEs) and start-ups operating across Asia. 


With his investment background, Jason possesses a keen acumen in assessing transactions and easily translates complex deals into understandable language for clients of all sizes. 


Jason is fluent in English, Mandarin, and Bahasa Indonesia.

CORPORATE WORK


  • Advised the management of a Singapore-listed firm in the work required to form a joint venture worth over S$8 million, which includes the negotiation of deal structure, commercial arrangements, and drafting of related legal documents 


  • Advised a Singapore-based private equity firm on its fund formation with assets under management (AUM) of US$180 million 


  • Advised an international Venture Capital fund on funds formation in Singapore with assets under management (AUM) of US$40 million


  •  Advised on a private equity fund's investments in a leading food chain (valued at S$25 million) based in Singapore, with operations in Philippines, Indonesia and Japan


  • Advised on the investment into a Singapore foodtech company which aims to tackle the diabetes epidemic 


  • Advised a Singapore-based e-commerce company’s investment into an Indonesian e-commerce start-up


  • Advised on and assisted the research and development team with acquisition of key technology from China to grow a new line of business


  • Assisted with the S$5 million investment from Hera Capital and DSG Consumer Partners into local chain SaladStop!, with investment funds to be utilised over the two years towards growing the company’s operations in Singapore and towards entry into new markets such as Indonesia, Hong Kong and Japan


  • Assisted with the launch of Wavemaker Pacific 1 Pte. Ltd.,, a Singapore domiciled fund focused on Asia Pacific, which primarily makes venture capital investments in the securities of private companies in high technology industries


  • Advised various Singapore-based companies seeking to form joint ventures across Southeast Asia in the e-commerce and logistics industries
